Representative Office (RO) is established by foreign companies and act as a liaison office.

A RO is not considered to be a separate legal entity, is not allowed to directly engage in business activities for profit, but mainly undertakes the liaison and consultation work on the head office's related business.

RO can't receive payments from its clients, issue official invoices, or signing sales or purchase contracts.

And please know that, registering RO, the parent company must be established for more than 2 years.

1 - Apply for Registration Certificate with Administrative Bureau of Industry and Commerce.

2 - Chops made by Public Security Bureau

3 - Organization Code License issued by Quality and Technical Supervision Bureau

4 - Tax certificate registration

5 - Bank account opening Documents required for RO registration

1 - original of Articles of Association of parent company notarized by local lawyer and endorsed by Chinese embassy or consulate overseas.

2 - original legal business certificate for more than two years and domicile certificate of parent company notarized by local lawyer and endorsed by Chinese embassy or consulate in that country.

4 - Certificate with company stamp or signature of lesser and landlord identification documents (The lessee should be acted by chief representative, or parent company.

The area is required no less than 30 ㎡ and for office use only with more than one year’s rent and the lease) contract should be endorsed by local Housing Management Authority

5 - Appointment Letter issued by parent company notarized by local lawyer and endorsed by Chinese embassy or consulate in that country

6 - Authorization Letter issued by parent company notarized by local lawyer and endorsed by Chinese embassy or consulate in that country

7 - Chief Representative, general representative’s passport notarized by local lawyer and endorsed by Chinese embassy or Chinese consulate overseas.

8 - The resume of the chief representative, general representative

9 - China Chief Representative documents: 2 photos (2 inches size), passport copy and resume.
